1. General
The following General Business Conditions are valid for all contracts, supplies
and other services. We hereby explicitly contradict differing regulations of the
other party to the contract. All collateral agreements require our written
consent. Flamenco Fashion keeps the right to change or complement this General
Business Conditions including all possible annexes with an adequate period of
notice. Orders which enter before will be fulfilled respecting the still valid
former Business Conditions.
2.
Offers
Our offers are not binding. Small differences and technical modifications in
comparison with our pictures or descriptions may occur. Each catalogue looses
its validity with the appearance of a new issue.
3.
Delivery and Payment
The delivery and payment conditions of Flamenco Fashion are included in the
order form. There is no minimum order quantity.
We have the right to send partial deliveries, in case we consider it an
advantage for speeding up the transaction. In case our customer wants special
shipment conditions this will be computed taking into account local extra
charges.

Products we have in stock (we are not reliable for transportation problems) will
be sent in the next 3 days after receiving payment. In case the non-compliance
of a delivery or service term is due to an act of God, strike, unforeseen
impediment or other circumstances for which we are not responsible, the term
will be adequately prolonged. In cases of non-compliance of the delivery terms
due to other than the afore mentioned reasons the buyer has the right to define
an additional period of time in writing with warning of refusal, and if this is
not met he can withdraw from the contract regarding the delivery or service
mentioned in the contract. In case the impossibility of delivery is due to
incapability of the producer or of our supplier, we and the buyer can withdraw
from the contract, in case the agreed delivery date has been exceeded in more
than 2 months. Damages due to delay, impossibility or non-compliance, also those
which have been caused before the withdrawal form the contract are excluded.
They would only be admitted in case a legal representative of Flamenco Fashion
had acted in a deliberate or strongly negligent way.
5.
Passing of the Risk
With shipment of the product by Flamenco Fashion the risk passes to the buyer.
6.
Warranty
Flamenco Fashion guarantees that the product is free of material and
manufacturing defects at the moment of passing of the risk and that it has got
the characteristics mentioned in the contract. The buyer has to examine the
product upon arrival to find out defects and characteristics. In case of obvious
defects these have to be communicated to us in writing up to 14 days after the
delivery, the same as hidden defects. Otherwise the guarantee for these defects
is not applicable. In case of complaint
the purchase date has to be proofed with an invoice. The product object of
complaint has to be sent together with a copy of the invoice and fully stamped.
The guarantee expires when the customer modifies the supplied product. During
the warranty Flamenco Fashion has the right of free of charge correction.
Partial or complete substitution of the product is allowed. If the defects are
not remedied in adequate period, the buyer has the right of repudiation of the
contract or diminution of the price.
7.
Reservation of Ownership
Until complete payment the ownership of the product is of "Flamenco Fashion"

Storing of Data
All personal data will be treated in a confidential manner.
9.
Place of Jurisdiction
Place of performance and jurisdiction for both parties is the business seat of
Flamenco Fashion. Only Spanish law is applicable. |
